The following Terms of Service Agreement (the “TOS”) is a legally binding agreement that shall govern the relationship with our users and others which may interact or interface with Covenant, located at 8100 SW Nyberg Street, Suite 400, Tualatin, Oregon 97062, and our subsidiaries and affiliates, in association with the use of the Covenant website, which includes www.Covenant.co (the “Site”) and its Services, which shall be defined below.

Description of Website Services Offered

The Site is an e-commerce website advertising and marketing which has the following description:
Covenant is an advertising and marketing company that is recognized as a Google Partner, specializing in paid search, mobile, video, display, and shopping ads.

User and Member Definitions

  • Any and all visitors to our site, whether registered or not, shall be deemed “users” of the Services.

  • Once an individual registers for our Services by creating an account, they shall be considered a “member.”

Service Modifications

The user and/or member acknowledges and agrees that:

  • Services provided are the sole property of Covenant.

  • Covenant reserves the right to modify, update, or discontinue Services at its discretion.

  • Continued use after modifications constitutes acceptance of changes.

Disclaimer: Services are provided “AS IS”, and Covenant is not liable for timeliness, missed delivery, or failure to store user content.

Registration

Eligibility

To register and become a “member”, you must:

  • Be at least 18 years of age.

  • Be in good standing and not barred from receiving Services under U.S. law.

Registration Requirements

During registration, Covenant may collect:

  • Name, email, birth date, gender, mailing address, occupation, industry, and interests.

Responsibilities

Violations

Member Account, Username, Password, and Security

Account Responsibility

  • You are the sole authorized user of your account.

  • You must maintain password confidentiality.

  • Notify Covenant immediately of unauthorized access.

Covenant is not liable for losses due to failure to comply with security measures.

Conduct

Content Responsibility

You acknowledge that you are solely responsible for:

  • All content posted, uploaded, or transmitted via Covenant Services.

Prohibited Activities

You agree not to use Covenant Services for:

  1. Unlawful, harmful, or abusive content.

  2. Harming minors.

  3. Impersonation or false affiliations.

  4. Infringing intellectual property rights.

  5. Spam or unauthorized advertising.

  6. Disrupting Services or networks.

  7. Violating local, state, or federal laws.

Covenant reserves the right to pre-screen, refuse, or delete content violating the TOS.

Global Use and Export/Import Compliance

Due to the global nature of the internet, you agree to:

  • Comply with local online conduct laws.

  • Adhere to U.S. export/import regulations.

Pledges

You state that you:

  1. Are not on any government export exclusion list.

  2. Will not transfer technical data to export-prohibited countries.

  3. Will not use Services for military, nuclear, or biological weaponry.

Content Licensing

User-Generated Content

Covenant does not claim ownership of user-submitted content. By posting, you grant Covenant a worldwide, royalty-free, non-exclusive license to:

  • Use, distribute, reproduce, and display content for promotional purposes.

Publicly Accessible Areas

This includes:

  • Message boards.

  • Openly available groups.

Contributions to Company Website

By submitting ideas or proposals (“Contributions”), you agree:

  1. Contributions are not confidential.

  2. Covenant may use or disclose Contributions without obligation.

  3. Contributions become sole property of Covenant.

  4. No compensation is guaranteed.

Indemnity

You agree to hold Covenant harmless from any claims arising from:

  • Your use of Services.

  • Violations of the TOS.

  • Infringement of third-party rights.

Commercial Reuse of Services

You agree not to:

  • Replicate, duplicate, or exploit any part of Covenant Services for commercial purposes.

Use and Storage General Practices

Covenant may:

  • Set limits on email retention, message volume, or disk space.

  • Delete inactive accounts.

No liability is assumed for removal or storage failures.

Modifications

Covenant reserves the right to:

  • Modify, suspend, or discontinue Services without prior notice.

Termination

Member-Initiated Termination

You may cancel your account by emailing support@covenantadvertising.com.

Company-Initiated Termination

Covenant may suspend or terminate accounts for:

  1. TOS violations.

  2. Law enforcement requests.

  3. Fraudulent or illegal activity.

  4. Non-payment of fees.

Early Termination Fees

  • Liquidated damages apply for early cancellation: 50% of remaining fees.

  • No refunds for paid fees.

Effects of Termination

  1. Removal of access to Services.

  2. Deletion of account data.

  3. Barring future use of Services.

Advertisers

Covenant is not liable for:

  • Business dealings with advertisers.

  • Losses from advertiser interactions.

Links

Covenant is not responsible for:

  • External site availability or content.

  • Damages from third-party resource use.

Proprietary Rights

Software and Content

  • Covenant Services and Software are protected by intellectual property laws.

  • You may not reverse-engineer, modify, or distribute proprietary material.

License Restrictions

You are granted a personal, non-transferable license to use Covenant Software on a single computer.

Warranty Disclaimers

You acknowledge that:

  1. Services are provided “AS IS” at your sole risk.

  2. No warranties are given for uninterrupted, error-free, or accurate Services.

  3. Downloading content is at your discretion and risk.

  4. Epilepsy warning: Some users may experience seizures from screen patterns.

Limitation of Liability

Covenant is not liable for:

  1. Lost profits, goodwill, or data.

  2. Unauthorized access or alterations.

  3. Third-party conduct on Services.

Release

For disputes, you release Covenant (and affiliates) from all claims and damages.

Copyright Infringement Claims

To report infringement, provide:

  5. A statement of good faith.

General Information

Entire Agreement

This TOS constitutes the entire agreement between you and Covenant.

Choice of Law and Forum

  • Governed by Oregon law (excluding conflict of law provisions).

  • Disputes must be filed in Multnomah County, OR, or U.S. District Court.

Waiver and Severability

  • Failure to enforce a provision does not waive it.

  • Invalid provisions are replaced to reflect intent.

No Survivorship

Accounts are non-transferable and terminate upon death.

Statute of Limitations

Claims must be filed within 2 years of arising.
